TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF AMDF AND ITS AFFILIATES FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU THE SERVICES AGAIN).

 

IN ALL CASES, AMDF AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

 

            If you are using our Site on behalf of a business, that business accepts these terms. It will hold harmless and indemnify AMDF and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Site or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.                  

 

8.         CHOICE OF LAW

 

This Agreement is entered into in the Commonwealth of Massachusetts and shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, exclusive of its choice of law rules. Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Hampshire in the Commonwealth of Massachusetts, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys' fees. In the event that any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

 

9.         MODIFICATIONS TO TERMS AND CONDITIONS

 

            We may modify these terms or any additional terms that apply to the Site to, for example, reflect changes to the law or changes to the Site. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. Changes will not apply retroactively and will become effective immediately. If you do not agree to the modified terms, you should discontinue your use of the Site.

 

            If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
